branch office

A part of the company geographically separated from company headquarters. It differs from a subsidiary in that it is not a separate legal entity. In Germany there are two types of branch office:

  • Zweigniederlassung: is not a separate legal entity but in some activities, independent of headquarters. An entry in the trade register is necessary and the branch manager must have prokura or power of attorney.
  • Filiale: simply an external office or operations of headquarters
